VIP Membership Agreement

1.Agreement Overview

This VIP Membership Agreement (hereinafter referred to as "this Agreement") is the agreement between you and the Sleepify team regarding the Sleepify VIP membership service (hereinafter referred to as "VIP Service"). This Agreement is a supplement to and integral part of the Sleepify Terms of Service.

The VIP Service is a paid premium service offered by Sleepify, designed to provide you with a richer, higher-quality sleep aid experience. Please carefully read this Agreement before activating VIP Service.

Actual prices are as displayed within the app. New users may enjoy a 7-day free trial on their first subscription (one trial per user).

4.Activation & Effectiveness

1. How to Activate: You can activate VIP Service by selecting a plan and completing payment on the VIP membership page within the Sleepify app.
2. Effective Time: VIP Service takes effect immediately upon successful payment, and you can enjoy all VIP benefits right away.
3. Account Binding: VIP Service is bound to your Sleepify account. After switching devices, simply log in with the same account to continue enjoying VIP benefits.
4. Free Trial: If your selected plan includes a free trial period, you can experience all VIP features during the trial. Charges will automatically begin after the trial ends according to your selected plan, unless you cancel before the trial period expires.

5.Renewal & Payment

VIP membership renewal and payment rules are as follows:

• Auto-Renewal: After selecting an auto-renewal plan, the system will automatically charge before each billing cycle expires. For detailed rules, please refer to the Auto-Renewal Agreement.
• Manual Renewal: If auto-renewal is not enabled, you will need to manually renew before expiration to maintain VIP benefits.
• Payment Methods: Supported payment methods include Apple Pay, Google Pay, credit/debit cards, and more (subject to actual availability).
• Invoices: If you need an invoice, please contact customer support with the relevant information.

6.Usage Rules

To maintain a healthy service environment, VIP members must comply with the following rules:

1. Personal Use Only: VIP membership benefits are for your personal use only and may not be shared, transferred, rented, or sold to others.
2. Device Restrictions: The same VIP account can be logged into multiple devices, but VIP content may only be actively used on one device at a time.
3. Content Protection: You may not record, copy, download (beyond the offline feature scope), distribute, or redistribute VIP content in any way.
4. Fair Use: Do not use technical means (including but not limited to scripts, automation tools) to bulk download or abuse VIP services.
5. Account Security: Please safeguard your account information and do not log in through unofficial channels or authorize others to use your account.

7.Service Changes & Termination

7.1 Service Changes

Sleepify reserves the right to adjust VIP Service content, including but not limited to:

• Adding or removing VIP-exclusive content.
• Adjusting the specific presentation of VIP features.
• Optimizing or upgrading the VIP service experience.

Significant service changes will be communicated in advance. We will ensure that the overall value of VIP Service is not materially diminished.

7.2 Service Termination

The following circumstances may result in termination of your VIP Service:

• You voluntarily cancel and the current billing cycle expires.
• You seriously violate this Agreement or the Terms of Service.
• Your account is deleted.
• Sleepify ceases operations (we will provide at least 30 days advance notice and process reasonable refunds).

7.3 After Expiration

After VIP Service expires:

• VIP-exclusive content will no longer be accessible.
• Downloaded VIP content will no longer be available for offline playback.
• Advanced mix presets will be preserved but unusable, and will be restored upon reactivating VIP.
• Your access to basic features will not be affected.

8.Refund Policy

In addition to refund rights available under applicable laws, if you purchased our app directly on our websites and the money-back option was presented to you during the checkout, you are eligible to receive a refund if you did not get visible results with our program, provided that all of the following conditions are met:

• You contact us within 30 days after your initial purchase and before the end of your subscription period; and
• Weekly Subscription: You must have followed the program for at least 7 consecutive days within the first 7 days after purchase.
• Monthly Subscription: You must have followed the program for at least 15 consecutive days within the first 30 days after purchase.
• Quarterly Subscription: You must have followed the program for at least 15 consecutive days within the first 30 days after payment (regardless of the total subscription length).

We will review your application and notify you (by email or otherwise) whether your application is approved.

How to demonstrate that you have followed the program

You can demonstrate that you have followed the program by fulfilling the following simple condition:

You provide screenshots from the app proving that you have finished at least 15 sleep or relaxation sessions (for monthly and more lengthy subscription periods).

9.Disclaimer

• The sleep aid and meditation content in Sleepify VIP Service is intended solely for relaxation and quality of life improvement, and is not a substitute for professional medical diagnosis or treatment.
• We do not guarantee that VIP Service will fully meet all your needs or achieve specific sleep improvement results, as individual experiences may vary.
• Sleepify shall not be liable for breach of contract in cases where VIP Service is interrupted or terminated due to force majeure (such as natural disasters, cyberattacks, policy changes, etc.), but we will make every effort to minimize the impact on you.

10.Agreement Modifications

We may modify this Agreement from time to time in response to business developments and changes in laws and regulations. The modified Agreement will be published within the Sleepify application. For changes that significantly affect your rights, we will notify you in advance through in-app notifications or email.

Continued use of VIP Service after modifications constitutes your agreement to the modified Agreement. If you do not agree with the modified terms, you may stop using VIP Service after the current billing cycle ends.

11.Dispute Resolution

The formation, execution, interpretation, and dispute resolution of this Agreement shall be governed by applicable laws. If disputes arise, the parties shall first attempt to resolve them through friendly negotiation. If negotiation fails, either party may bring a lawsuit to a court with competent jurisdiction.
